1) Acceptance of Terms
By accessing or using the website at www.greatlakesstoneworks.com and any related services, quotes, or deliverables (the “Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.
2) Who We Are
Great Lakes Stoneworks, a Michigan LLC located at 309 North Lincoln Street, Suttons Bay, Michigan. Contact:ed@greatlakesstoneworks.com |231-373-3866.
3) Eligibility; Account Security
You must be at least 18 and have authority to bind your company. You’re responsible for your login credentials and all activity under your account.
4) Estimates, Take-Offs, and Value Engineering

Scope: Quantity take-offs, budgets, and VE options are planning tools, not a guarantee of final installed quantities or costs.

Assumptions: Our outputs rely on the drawings, details, and information provided. Changes in design, field conditions, or sequencing may alter quantities and costs.

Review: You agree to review and validate our assumptions before ordering.

No Design Services: Unless stated in writing, we are not the architect, engineer, or design professional of record.
5) Samples and Natural Variation

Samples are indicative only. Natural stone varies in color, veining, texture, and sizing.

Batch Control: We follow reasonable batch/lot practices, but natural variation will occur and is not a defect.

Mockups: We recommend full mockups for color range, coursing, jointing, and finish approval.
6) Orders, Pricing, and Payment

Quotes/Proposals: Valid for [30] days unless noted. Pricing may change due to quarry/freight/fuel/accessorials or market conditions prior to acceptance.

Taxes/Fees: You’re responsible for all applicable taxes, duties, permits, and accessorial charges (e.g., liftgate, detention, limited access).

Payment Terms: As stated on the invoice/quote. Late balances accrue [1.5% per month] or the maximum allowed by law. We may suspend shipments for nonpayment.
7) Lead Times and Availability
Lead times are estimates based on current quarry/fabrication schedules. Force majeure and supply constraints may impact dates. We are not liable for consequential delays outside our control.
8) Shipping, Delivery, and Risk of Loss

F.O.B./Risk Transfer: Risk of loss passes to you upon carrier pickup or delivery per the shipping term on your quote.

Direct-to-Site: If shipping direct to the jobsite, contractor is responsible for unloading with appropriate equipment and personnel.

Inspection on Arrival: Inspect immediately. Note visible damage or shortages on the carrier BOL and notify us in writing within 48 hours with photos. Failure to do so may waive claims.

Storage/Moisture: Protect stone from moisture staining and contamination. Pallets/crates must be stored off the ground under cover.
9) Returns and Cancellations

Custom/Special-Order/Standard items: Non-cancelable and non-returnable once in production.

Damage in Transit: Follow Section 8 claim procedure; do not return without instructions.
10) Installation and Site Conditions
-
Installer Responsibility: Proper installation, anchorage, drainage, weather-resistive barriers, movement joints, and compliance with code, ASTM, and manufacturer instructions are the installer’s responsibility.

Accessories: Where specified, accessories (lath, drainage mat, mortar, sills, caps) must match system requirements.

Field Tolerances: Stone is a natural material; minor dimensional tolerances are normal and not defects.
11) Limited Warranty; Disclaimers

Material Warranty: We warrant that stone will substantially conform to the agreed grade/finish at shipment. Natural variation is expected.

Exclusions: Improper storage/handling, installation errors, chemical exposure, settlement, efflorescence, rusting of non-stainless components, or acts of nature are excluded.

No Other Warranties: The Services and materials are provided “as is” to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness, and non-infringement.
12) Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or materials shall not exceed the amount you paid for the specific order or Service giving rise to the claim. We are not liable for indirect, incidental, special, punitive, or consequential damages, including delay costs or lost profits.
13) Intellectual Property
All site content, guides, drawings, reports, and tools we provide remain our intellectual property unless otherwise agreed in writing. You receive a non-exclusive, non-transferable license to use deliverables for the specific project.
14) User Content and Feedback
If you provide content or feedback, you grant us a perpetual, worldwide, royalty-free license to use it to operate and improve the Services. You represent that you have rights to share any plans or documents you upload.
15) Prohibited Uses
You will not misuse the Services, attempt to access others’ data, scrape, reverse engineer, interfere with security, or violate applicable laws or third-party rights.
16) Third-Party Links and Tools
We may link to third-party sites or use third-party logistics and payment tools. We are not responsible for third-party content, services, or policies.
17) Privacy
Your use of the Services is also governed by our Privacy Policy at [link]. Do not share confidential or regulated data unless we have a separate written agreement.
18) Changes to the Services or Terms
We may update the Services and these Terms from time to time. Material changes will be posted with a new “Last updated” date. Continued use after changes constitutes acceptance.
19) Suspension and Termination
We may suspend or terminate access for any violation of these Terms or where required by law. You may stop using the Services at any time; accrued payment obligations survive.
20) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles.

Good-Faith Resolution: Parties will first attempt to resolve disputes in good faith.

Arbitration (optional clause): Any unresolved dispute shall be finally settled by binding arbitration in Grand Traverse County, Michigan, under the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.

Injunctive Relief: Either party may seek injunctive relief in court to protect IP or confidential information.
21) Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control, including but not limited to acts of God, labor disputes, carrier issues, or governmental actions.
22) Severability; Waiver; Entire Agreement
If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with accepted quotes/invoices and any signed agreements, are the entire agreement regarding the Services.
